Terms of Service

These terms form a binding agreement between you and Phronesis AI Lab Private Limited.

These Terms of Service ("Terms") govern your access to and use of Social Media Digital Marketer ("the Service"), operated by Phronesis AI Lab Private Limited, a private limited company incorporated in India ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Service is an AI-powered social-media management platform that generates content and schedules and publishes it to social networks you connect. Features, supported networks, and limits may change over time.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • If you use the Service for an organisation, you represent that you are authorised to bind it, and "you" includes that organisation.
  • You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under your account.
  • Notify us promptly of any unauthorised use at [email protected].

3. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. You must also comply with the terms, policies, and API rules of every social network you connect. Violations of a platform's rules may result in suspension of that integration by the platform or by us.

4. Connected accounts and third-party platforms

When you connect a social network, you authorise us to access and act on that account within the scopes you grant, solely to provide the Service. We are not responsible for third-party platforms, their availability, their API changes, or actions they take against your accounts. You may disconnect an account at any time.

5. Your content and licence

You retain all rights in the content you submit, generate, or publish through the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely to operate and provide the Service, including sending it to AI providers and social networks as you instruct. You represent that you hold the rights necessary to grant this licence and to publish Your Content.

6. AI-generated content

Content produced by the Service is generated by AI models and may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing outputs before publishing and for all claims made in published content. Additional terms apply — see our AI Content Terms.

7. Fees, billing, and taxes

  • Paid plans are billed in advance on a recurring basis. Indian customers are billed in INR via Razorpay; other customers are billed in USD via Stripe.
  • Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Except where required by law, fees are non-refundable. Prices may change with prior notice effective at your next renewal.
  • You are responsible for applicable taxes, including GST where relevant.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Phronesis AI Lab Private Limited and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. All rights not expressly granted are reserved.

9. Feedback

If you provide feedback or suggestions, you grant us a perpetual, royalty-free right to use them without restriction or obligation to you.

10. Suspension and termination

We may suspend or terminate your access for violation of these Terms, non-payment, suspected fraud or abuse, or where required by law. You may terminate at any time by closing your account. On termination, your licence ends and we will delete or return Your Content as described in our Privacy Policy and DPA. Provisions that by their nature survive termination will survive.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI outputs will be accurate or fit for your purposes.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHRONESIS AI LAB PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnity

You agree to indemnify and hold us harmless from claims arising out of Your Content, your use of the Service, your violation of these Terms, or your infringement of any third-party or platform rights.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts located in India shall have jurisdiction, subject to any mandatory consumer-protection rights in your country of residence.

15. Changes to these Terms

We may update these Terms. For material changes we will provide notice by email or in-product. Continued use after changes take effect constitutes acceptance.
